1. Services Provided

Zen Proto LLC offers professional 3D printing services and manufactures parts based on customer-supplied designs or templates available through our platform. The provided designs and chosen materials determine the final product's quality, dimensions, and functionality.

2. User Responsibilities

• Design Compliance: You are fully responsible for ensuring that the designs you submit comply with all applicable laws and do not infringe on copyrights, trademarks, or any third party intellectual property rights.

• Prohibited Content: Designs containing offensive, illegal, or unethical content are strictly prohibited.

• Accurate Information: When placing an order, you must provide accurate and current information, including billing and shipping details.

3. Pricing and Payment

• Pricing: Pricing is determined by material type, order complexity, and quantity.

• Payment: Full payment is required before production begins unless an alternative arrangement is agreed upon in writing.

• Refunds: All fees are non-refundable once production has started.

4. Intellectual Property

• Ownership: You retain full ownership of all designs you submit. By submitting your designs, you grant Zen Proto LLC a non-exclusive license to use them exclusively for manufacturing your order.

• Third-Party Rights: You confirm that you have the legal right to use and submit the designs provided.

5. Warranties Disclaimer

EXCEPT AS EXPRESSLY STATED HEREIN, ZEN PROTO LLC DISCLAIMS ALL WARRANTIES, BOTH EXPRESS AND IMPLIED. This includes but is not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement regarding the services and products offered. We do not guarantee that our products will meet your specific requirements or that our services will be uninterrupted or error-free. Any warranty on the materials used is solely limited to the warranty provided by the material manufacturer. 

6. Limitation of Liability

ZEN PROTO LLC is not liable for any issues that arise from inaccuracies or incomplete information in designs submitted by the user. Our liability is strictly limited to the cost of the specific order in question. We are not responsible for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, data loss, or business interruptions, that occur as a result of or in connection with the use of our services, even if we have been advised of the possibility of such damages.  

7. Indemnification Clause

You agree to indemnify, defend, and hold harmless Zen Proto LLC, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of our services, your submitted designs, or your breach of these Terms.   

8. Confidentiality

Zen Proto LLC will not disclose your design files, order details, or personal information to third parties without your consent, except as required by law or as necessary to fulfill your order.   

9. Term and Termination

These Terms shall remain in effect indefinitely unless terminated by either party. You may terminate these Terms by providing written notice to Zen Proto LLC. Zen Proto LLC may terminate these Terms at any time, with or without cause, by providing you written notice or terminating your access to our services.

10. Marketing and Promotional Use

By utilizing Zen Proto LLC's services, you permit us to reference your company name and logo in our marketing materials, including but not limited to case studies, client lists, and promotional content. If you wish to opt out of this usage, you must provide explicit written notification to [email address removed] before or at the time of your order submission.

11. Force Majeure Clause

Zen Proto LLC shall not be liable for any delay or failure in the performance of its obligations under these Terms to the extent such delay or failure is caused by events beyond its reasonable control, including, without limitation, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, or materials.   

12. Governing Law and Dispute Resolution

These Terms shall be governed by and interpreted by the laws of the State of Ohio without regard to its principles of conflicts of law. Any disputes arising from or relating to these Terms or our services shall be resolved exclusively in the state or federal courts located within the State of Ohio.  

13. Changes to Terms

Zen Proto LLC reserves the right to modify these Terms at any time. Any changes will take effect immediately upon being posted on our website. Your continued use of our services after such updates constitutes your acceptance of the revised Terms.
